祖国大陆公司法与台湾公司法相比,存在较大的差异,比较海峡两岸公司法在立法沿革、公司种类、资本制度、公司治理结构以及公司重整制度等方面的差异,借鉴台湾公司法近80年的立法经验,可以对祖国大陆公司法的修改与完善提供有益的启示。

By comparison, there are great differences between the corporate laws of the Mainland and the Taiwan Region. This essay, based on the similarities and differences between the corporate laws of both sides of the Taiwan Strait, including corporate categories, capital systems, corporate governing and reorganization, draws on experience of the Taiwan corporate law kept for nearly 80 years and makes suggestions on the modifying and perfecting of our corporate law.
