Juridical Person Director's Theory and the Selection of the Lawmaking

各国公司立法对法人是否可以担任公司董事有不同的规定。我国现行公司法并未规定法人董事制度。法人董事制度对于维护法人股东合法权利、完善董事责任制度具有重要意义。同时该制度也存在一些弊端。我国公司立法可以借鉴我国台湾地区法人董事制度的立法经验,建立适合我国公司实践的法人董事制度。

There are some difference lawmaking selections with several countries about the juridical person to be the corporation＇ s director. China＇s Corporation Law did not mention about the system, it may bring important significance in protect the juridical person shareholder＇s right and it＇ s perfect of the juridical person director＇s responsibility. Also, the system may occur some abuses. The lawmaking of China's Mainland＇ s Corporation Law may reference from Taiwan＇s lawmaking experience and to establish that system to suit for the corporation＇s practice in mainland.
