摘要
本文从分析一人公司的概念、特点入手，讨论了一人公司对传统公司法理论带来的挑战，提出了对传统理论的解构与重新构建，指出对一人公司予以立法承认的合理性以及对其进行综合风险防范的必要性。
This article analyzes the conception and characteristics of one-member company, discusses the challenges that the one-member company had brought to the conventional company law theory, puts forward the theoretic reconstruction, points out the rationality to give the legal acknowledgement to one-member company with the necessary synthetical risk-resisting methods.
