有限合伙作为合伙的一种特殊形式,以其独有的社会价值和法律价值引起了社会的关注,有限合伙制度对于我国目前的经济发展能够起到一定的促进作用。目前我国合伙制度的立法现状及国内各地对有限合伙制度立法的尝试都充分表明在我国建立有限合伙制度的必要性和可能性。针对我国各地在有限合伙立法方面的努力和相关司法实践中出现的问题,应积极应对,以建立符合我国现状的有限合伙立法模式。

As a special form of partnership, Limited partnership attracts more social attention by its social and legal value. Limited Partnership promotes the current economic development of China at a certain extent. The legislative situation in our country and the attempt to constitute the limited Partnership law in various districts in China indicate the need and the feasibility to legislate the system in our country. The paper takes a research of the present legislative situation and proposes a legislative mode and suggestions of the Limited Partnership legislation of our country, which is based on the various present rules about Limited Partnership applied in various districts in China.
