摘要
西方国家股份公司的治理结构中有两种模式,即一元制和二元制;而我国在引入了独立董事制度后,形成了世界上独一无二的平行式大陆法系“二元制”模式外加“一元制”治理模式,出现独立董事制度与监事会并存的局面。本文指出了我国两者并存的现状,因为二者的构成与功能都不同,相互协调,相互补充是可以实现的。但在实践中由于法律规定的模糊性,两种制度的责权有诸多重叠。因而本文就两种制度在实践中如何具体结合做了深入研究。
The company exsit two supervision mode ,one-member management and two-member management, in western stock company.After the independent director＇s system has been introduced,the situation that independent director and two kinds of supervision strength of board of supervisors coexist has appeared in the structure of managing of company of our country. According to the analysis of the situation two mode coexsitcnee in China,this article indicates the two kinds of supervison how to combine.
