在中国饱和的国内市场、能源和基础原材料短缺、融资成本低等外部条件和企业自身拥有充裕的资金和发展需求等内部条件的情况下,中国的海外并购达到一个新的历史水平。但是在并购交易繁荣发展的背后中国企业的海外并购又存在着政治风险高,国内缺乏专业服务的中介机构,国内相关法规、管理制度不健全,被并购者和并购者之间文化差异大以及国内缺乏有管理跨国公司经验的高级管理人员等多方面的问题。如何解决这些问题已成为中国企业海外并购能否成功的关键。

The overseas M ＆ As of Chinese enterprises have reached a new historical level due to me saturation of nation market, the shortage of energy and raw material, the low cost of funds and the sufficiency of capital. But behind the prosperous, there are some problems：the risk of politics, the shortage of professional service organizations, the lack of sound codes and management system, the difference between cultures and the lack of managers experienced in managing multinational corporations. This article discusses these problems and gives some solutions to these problems.
