摘要
公司内部治理机制运行状态具备形成耗散结构的条件。基于耗散结构理论,分析了影响内部治理机制发展的内外部因素,并且制定了公司内部治理机制的耗散结构模型,使对系统演化方向的分析从定性转化到定量成为可能,借助模型得出系统在各因素的作用下三种可能发展方向及演进规律,为定量判断系统所处的发展方向、动态把握公司治理的实践奠定了基础。
This paper explains the current operating of intemal mechanism of corporate governance, which involves dissipative structure.It analyzes the internal and external factors that influence the development of internal governance mechanism, and puts forward the dissipative structure model of internal mechanism of corporate governance, which makes it possible to analyze the trend of this system evolving from qualitative analysis to quantitative analysis. By concluding three possib lities of development under the influence of these factors, it establishes certain theoretical foundation for quantitatively clarifying this system in theory and practice.
