Some issues are discussed in this paper, i. e., joint venture railway companies must abide by Company Law making-up in organization and operation, the relation of property rights must be clear and every side investor's legal equity must be fully guaranteed, the legal mechanism is to be sound inside companies and bring function in full play, the investment mechanismshould be legitimate, and the property right relationship between entrusting side and entrusted side is to be a clear definition.
