摘要
企业并购是产业发展和企业竞争的结果,是一种有效的资源配置方式。从企业文化的角度来看,并购包含着对并购双方企业文化进行整合的要求。并购企业的文化整合不仅直接影响企业并购的成败,而且可以使并购企业获得保持其持续竞争优势所需的稀缺文化资源。文章系统地分析了并购整合中的文化风险的来源及其影响,除了文化差异直接给企业并购带来文化风险外,还有并购方式、整合方式以及目标企业的公众关系等因素带来的文化风险。
As the result of industrial development and corporate competition, M&A is an effective way of resource allocation. There is an instinctive request for culture integration to M&A enterprises in the view of corporate culture. Culture integration not only influences the performance of M&A, but also can help the M&A enterprises get scarce culture resources to maintain its sustainable competitive advantages. This thesis systematically analyze the sources and impacts of culture risks covering direct culture risk imposing upon enterprise form culture differences, besides, analyzing factors along with merging patterns, integrating pattern and the public relations of objective corporation.
