With the relevant statistical data of 1985-2002 as the analytic base, this paper empirically analyzes the determinants affecting Japan's FDI to China in an econometric model. The data regression reveals that the main determinants for Japan's FDI to China includes the market content of China, the Sino-Japanese bilateral trade, the real exchange rate and the Sino-Japanese real wage differential. Through comparing and analyzing the variables in the model, Japan's motivation of FDI to China is concluded in two aspects in this paper. First, as the trade-oriented foreign FDI, the direct intention of Japan's FDI is to outspread its native marginal industry. Secondly, the tremendous market in China is an important reason to attract the FDI from Japanese MNCs to China.
