控制股东的注意义务及民事责任

Controlling Shareholders' Duty of Care and Civil Liability

控制股东是对公司具有控制权的股东。控制股东极易滥用控制权损害公司和第三人权益。为防止控制股东控制权之滥用,须对控制股东课以法律义务。控制股东之注意义务即为其处理公司事务时应尽善良管理人之谨慎义务。控制股东违反注意义务,给公司和第三人造成损失的,应负民事赔偿责任。

The controlling shareholders refer to those shareholders who have controlling power of the company . The controlling shareholders is easily abuse the control power and damage the interest of company and third party . It need to impose the legal duty on the controlling shareholders in order to avoid abusing of the controlling shareholders control power . Controlling shareholders＇ duty of care is that they should possess the duty of care of kindhearted administrator when they handle company general affairs . The controlling shareholders who disobey the duty of care and bring about the loss of company and third party should be responsible for the civil liability.
