摘要
我国《合同法》首次规定了表见代理制度,但范围略显然狭窄,还应当进一步加以完善。表见代理在性质上与无权代理和有权代理有着明显的差别,应属于一种独立类型的代理。表见代理中的行为人与相对人所进行的必须是民事法律行为,其法律后果直接归于本人,并产生与有权代理相同的法律后果。
The system of agency of estoppel, which is stipulated in Contract Law of our country for the first time, should be further perfected for its narrow range. Agency of estoppel is different from representative without authority and authorized agency in nature, and it is an independent kind of agency. What actors and the opposite party for agency of estoppel do should be civil juristic act, and its legal consequence belongs to the principal; meanwhile it has the same legal consequence as authorized agency.
