公司股权结构是公司治理结构的基础。有限责任公司的治理,形式上表现为所有者和经营者之间的权力控制和利益分配,但是实质上更多地表现为股东之间的权力控制和利益分配。不同类型,不同规模的公司,由于股东构成不同,其治理结构的重心有所侧重,应区别对待。建立广泛的协商解决机制是完善中外合资经营企业治理结构的实际需要。

The administrative structure of a company is based on its structure of stock right. Superficially, the administration of a limited company finds expression in the power control and interest distribution between the owner and the administrator, but in essence it finds full expression in the power control and interest distribution among the stockholders. The establishment of a consultative mechanism in the joint enterprises is a must in the administrative structure.
