摘要
企业并购并不是资金与技术的简单联合,而是实现从资产到企业文化的整合;企业并购的成功与否在很大程度上取决于在有形资产的优势互补过程中,对企业文化差异与冲突的处理。基于对文化差异产生的影响因素分析,指出了文化冲突对企业并购的影响,介绍了4种文化整合模式及并购双方模式选择的影响因素,阐述了文化整合的操作过程。
The M&A of enterprises, which is not the simple combination of the capital and technology, is the realization of the integration from the capital to the culture. Whether the M&A of enterprises is successful or not mainly depends on how to deal with the difference and conflict of enterprises culture in the course of the complementation of the superiorities of the visible assets to a great extent. Based on the analysis on the influencing factors caused by the cultural difference, this paper points out the influence of the cultural conflict on the M&A of enterprises, introduces four kinds of modes of the cultural integration and the factors influencing the mode selection of both sides of the M&A, and expounds the operation procedures of the cultural integration.
