我国上市公司治理探析——兼论中东欧国家公司治理的启示

A Probe into China's Corporation Management——In View of the Implications from the Corporation Management in the Mid-east European Countries

我国上市公司治理不规范,存在内部人控制、信息披露不充分、效益低下等问题,这在经济转型国家中有某种共性。通过分析中东欧国家公司治理的制度背景、公司所有权和控制权、公司治理存在问题,对中国与中东欧国家公司治理进行了比较,在此基础上提出我国公司治理要选择正确的路径,要大力培养机构投资者,要明确国家在公司治理中的主体地位,要营造良好的公司治理外部环境。

The management of China＇s corporation is not wall-regulated in the employees＇ management, insufficient information outcome and low efficiency. They share the common characteristics in the economy-shifting countries. By analyzing the system background, the owner and control rights and the problems existing in the corporation management of Mid-east European countries, and by the comparison between the corporation management of the Mid-east European countries and those of China, this article puts forward that the corporation management in China should take the correct routes, that the institution investors should be trained with great effort, that the position of Chinese government as the main body in the corporation management, and that friendly outer environment of corporation management should also be built up in this process.
