摘要
公司治理结构有狭义和广义两种,法学上的公司治理结构是指为维护股东、经营者、职员、公司债权人的利益以及社会公共利益,保证公司正常有效地运营,由法律和公司章程规定的有关组织机构间责、权、利的分配与制衡制度体系。一人公司特殊的治理结构和存在的特殊问题,决定了一人公司的治理结构具有不同于普通公司治理结构的特点。我国一人公司治理结构的法律规制重点,因不同类型的一人公司而有所不同。
The notion of corporation＂ s governing framework has two kinds of sense.one is narrow ,and another is broad. On law.it is a system of distribution and restriction about obligationg, rights and benefit among the related institutions . which is prescribed by law and corporation＇ s statutes in order to safeguard the benefits of shareholders, operators, personnels, company＇s creditors and even the whole society, to guarantee the corporation working in gear. The sole corporation has special a governing framework with special problems, which has determined it has some different features from common companies on its governing framework. The focus on legal regulation of the sole corporation＇s governing framework in China varies with different kinds of sole corporations.
