介绍了我国独立董事制度产生背景及其运行现状，并通过对独立董事制度实施以来存在问题的研究，提出中国独立董事制度的完善应从制度层面、公司层面以及市场环境层面共同进行，以使独立董事制度发挥其真正的效用。

This article explores the background about our country produce the independent director institution and status quo, by analyzing the problems encountered ever since the independent director institution was implemented. The author believes that improving the independent director institution should go on from system, company and market environment together. Only in this way the independent director institution could exert its real effect.
