摘要
修改后的《公司法》更加强调公司的社会责任并突破了所有制限制,使非公有制企业实行民主管理有了法律依据;而对于有限责任公司、国有独资公司、股份有限公司中职工代表的比例、产生方式等也作了明确规定;此外公司治理结构的完善也为职工董事监事作用的发挥创造了条件。
The revised Corporate Law lays more stress on corporate social responsibility and breaks through the limitation of ownership. It gives legal foundation to non- public enterprises, and definitely prescribes the proportion and selecting approach of worker representatives in limited liability companies, state exclusive invested companies, and provides conditions for function of worker directors and supervisors through perfecting corporate management structure.
