Problems and resolutions in the system of independent board of directors

独立董事在公司治理结构中发挥着监督和平衡的重要作用,然而中国独立董事制度存在着人员结构不合理、相关法律法规不健全、独立董事缺乏独立性和积极性等缺陷,这不仅直接阻碍了独立董事职能的发挥,也影响着公司治理的进程。因此结合中国市场经济发展的现状,应从加强法律制度建设、强化独立董事独立性和提高其素质等方面采取改进措施。

The independent directors play an important part in supervising and balancing company＇s administration structure. However, there are problems in the system of independent board of directors, such as, unreasonable permnnel structure, defects in relevant laws and regulations, lack in independence and enthusiasm of independent directors. These defects not only hinder the full playing of the independent directors directly, but also influence the operation of company＇s administration structure. Based on our current situation of economic development,we should strengthen the improvement of relevant laws, improve the independence and quality of independent directors.
