论公司财产独立的价值及其法律维护——以公司资本制度的内在逻辑与变革取向为中心

Value of Independce of Companies’ Property and Their Legal Safeguard——In View of Intrinsic Logic of Capital System of Companies

公司财产独立作为公司的法律人格要素,构成了公司独立责任的依据与物质基础,并据以维护交易安全。公司财产独立主要借助于公司资本制度及其相关规范实现,这也构成了公司资本制度存在及变革的内在逻辑。但公司资本及财产独立均具有制度价值上的局限性,因而必须反思公司资本制度及相关规范的合理性,缓和传统公司法僵化的资本制度。这就要求健全公司财产独立的保障性制度体系,借助于公司意思独立的保障性制度,采取有效措施防止公司财产独立的虚化。

As corporate legal personality elements, company property constitutes an independent basis for liability and a material foundation, and it is to safeguard the security of transactions. Independce of companies＇property mainly through the capital system and its related norms, which also constitutes a system of corporate capital and the existence of the intrinsic logic of change. But companies have an independent system of the capital and property value limitations, and companies must reflect on the capitalist system and the relevant norms of reasonableness. This requires perfecting the protection systems of the independence of the company, through an independce of company＇s meaning protection system, to take effective measures to prevent the nominal independent company property.
