内幕交易民事责任的诉讼探究

Searching on Procedural Regime of Civil Compensation in Insider Trading

内幕交易案中,侵害人应当承担民事赔偿责任,但实践中现行的民事诉讼制度对内幕交易侵权之诉缺乏可操作性,诉讼制度的缺失使投资者的合法权益得不到有效保护,降低了投资者对市场的信心,影响证券市场的健康发展,建立内幕交易民事赔偿的诉讼制度有重要的现实意义。要建立内幕交易民事赔偿的诉讼制度,需要针对内幕交易的特殊性,从民事诉权、代表人诉讼、管辖、举证责任、裁判效力等几个方面给予理论上的研究,探求可操作性的诉讼制度。

In the case of insider trading, trespasser should take on the liability of civil compensation, but in practice, actual civil procedure law is short of feasibility for the lawsuit of tort claim resulted from insider trading, the absence of procedural regime makes the interest of investors not to be protected effectively, cuts back their confidence for the market, impairs healthy development of security market, so the establishment of civil compensation system has important practical significance. To establish proceedings of civil compensation of insider trading, we can do some academic studying from the right of civil litigation, representative suit, jurisdiction, burden of producing evidence, force of judgment and so on, aimed at the particularity of insider trading case, and search the feasible procedural regime.
