摘要
本文认为,我国公司治理实践中监督约束机制效率缺失的原因是多方面的。传统的“人际和谐”观念对企业监督人思维方式潜移默化的影响,企业监督人的心理活动和状态与社会制度的变革方式等是不可忽视的因素,涉及到文化的、心理的、社会的、市场的等多方面内容,同时多个因素又相互交织在一起,共同组成了一个复杂的问题系统。因此,在实践中必须多管齐下,为企业公司治理建立一个强效的监督约束机制。
The author points out that causes for efficient loss of supervision and restraint mechanisms in China's corporate governance cover a wide range of issues. The influences of traditional idea on supervisors and ways of change in supervisors' psychological activities and social system can not be ignored. They cover issues of culture, society, psychology and market, and composed a complex system of problem. So, in practice, we should establish an effective supervision and restraint mechanism for corporate governance by the uses of different kinds of methods.
