摘要
有限责任公司股东可以通过公司章程对股权内部转让进行限制,股权内部转让还须受公司法关于“一人公司”设立规定的限制。股权外部转让的同意模式具有保护有限责任公司人合性和保证股权流通性的价值,股权外部转让的优先购买权主体为拟对外转让股权股东之外的全部股东。股权转让涉及到股东名册登记变更和股东工商登记变更,通常情形下股权确认应以股东名册的登记为准。
The share-holders of the Limited Cooperation can restrain the share atto -rnment among the company through the company＇ s agenda. The internal share attornment should also be restrained by the company law. And the external share attomment patten can protect the value of share in currency. The initiate share buyer should be those who are not the potential share seller. The share attomment can cause the alteration of shareholder＇s name. Generally, the confn-mation of share-holder is based on the share-holders＇ registration in the local government agent.
