摘要
围绕现代公司制度,存在着两次公司革命、两类公司治理问题和两对制度特征。这种关系揭示出,一个理想化的公司在其制度安排上,既要体现变革的思想,又要能建立有效的纠错机制。而所谓公司治理就是企业制度进化的纠错机制。结合现代公司制度的这层内涵,建立基于理想公司的公司治理分析架构,它为公司治理的研究确定了一个参照系和一个形式化的研究模型。
About the modem business enterprise system, there are two revolutions, two types of corporate governance, and two pairs of characteristics involved. The relationship between these three categories shows that, an ideal corporation has to build an institution which not only can reflect the thought of the revolutions but also can create an effective error correction system. Indeed, the so-called corporate governance is an error correction system about the corporation institution evolution. Based on this definition, this paper will build an analytical structure of corporate governance based on the ideal corporation and make a contribution for setting up a flame of reference and formalize a pattem.
