摘要
我国于2005年修订的《公司法》,其中一个重要的内容就是增加了反对股东的股份收购请求权,即在公司结构发生重大变化时,反对股东可以在选择获得合理的经济补偿后退出公司结构业已发生重大变化的公司。有必要对我国反对股东股份收购请求权的演进过程以及相关实体法问题进行研究。
China＇s Company Law amended in 2005 added the right of claim for acquisition of shares by dissenting shareholders, which means the structure of the company materially changes, dissenting shareholders can choose to retire from the company by getting reasonable compensa tion. It is necessary to study the developing process of the right of claim for acquisition of shares by dissenting shareholders and related substantive law.
