摘要
我国中小企业治理中实行董事制度存在着三个缺陷:独立董事不独立,独立董事“不懂事”和缺乏监督约束机制,对此,解决的办法是实行选拔机制外部化、报酬与公司业绩挂钩、独立董事接触具体业务并给出可行的方案。
This article elaborates the importance of the role of the independent board member in the management of a small and medium enterprise by putting forth three shortcomings in China＇ s system of independent board members ： Independent board member is not independent, not in charge and lack of monitoring inspection.The author gives out his solution： external selection, salary going with efficiency and a board member being a practical doer.
