摘要
选择上市公司数据,对企业领导人更替现状进行了分析,分析结果表明我国企业董事长更替频率比总经理更替频率低,离职原因较为复杂,但主要原因相对集中,企业领导人更替公告主要采用董事会决议形式,企业领导人更替年龄相对集中,企业领导人的任期期限总体较短,企业领导人的继任者以内部人为主,但董事长的继任者来源特征不明显,我国企业董事长主要由控股股东产生,总经理由职业经理人担当,董事长之职兼职较多,一般由控股股东兼任,总经理的专职较多。
Collecting the date from listed company in China, the paper studies on the leadership succession in the listed company, the results show that the successor frequency of board chairman is higher than that of general manager. There are many reasons for this but mainly focus on the following issues. The announcement of leadership succession is in the form of resolution of board of directors; the age range of successor is which is a comparative short period for a leader' s tenure. Furthermore, the successor selected among the insider of the enterprise. A comparative high education level of the successor is the reflection of higher quality of leader. The chairman of board in China' s enterprises are nominated by controlling shareholder is in the most case while general manager held by professional managers; Generally speaking, a concurrent position of board chairman held by controlling shareholder which is opposite to the general manager.
