摘要
文章分析指出近年来我国企业跨国并购成功率不高的主要原因是企业的国际整合能力不足。据此提出了提高跨国并购整合能力的对策建议:做好兼并后的整合计划和准备;依法合情合理处理好员工的利益问题;文化的整合要与管理的整合同步进行;学习美国GE公司“少食多餐”的并购法则,企业的整合与公司治理的国际化要同步推进等。
The paper points out that the main reason for unsatisfactory performance of companies in our country in merging and purchasing foreign companies lies in their weak integration ability. For this, the paper offers countermeasures so as to improve the integration ability in transnational merging and purchasing. These include making plans and preparation; dealing with care employers welfare; cultural integration and management integration being made synchronously; learning from GE of America the merging and purchasing code which is "a little each time but many times" ; and the integration of the company and the internationalization of management being made at the same time.
