论我国公司治理的规范与发展——以“一人公司”制度为背景分析

Study on Standard and Development of the Corporation's Management——According to the Background Analysis of “the Corporation for one Person” System

我国新《公司法》针对我国公司实践中出现的问题,采纳了国内理论研究新成果,借鉴了国外成功的立法经验,在诸多方面体现了现代公司治理理念。其中一人公司法律地位的确立,则彰显了这一理念。一人公司作为一种新型的公司形态,一方面反映了社会经济发展的客观需要,另一方面是对传统公司理念的极大挑战。因此,探索一人公司的理论根源,深入分析一人公司的法律本质及价值取向,促使该制度在我国当前国情下正常运行,还应进一步加强对一人公司的立法规制,不断规范和完善我国公司法律制度。

Considering that many problems are resulted from the practice of our country＇s corporation, the new CORPORATION LAW adopts many latest theory research achievements at home, refer to lots of successful law experience at abroad and in many aspects, it embodies the management conception of modem corporations. As the corporation for one person affirms its law status, it reflects the conception. As a new type of corporation, on one hand, the corporation for one person reflects the objective need of the society economic development, on the other hand, it greatly challenges the conception of traditional corporations. Therefore, to explore the theory root of the corporation for one person, to analyze the law essence and values, to carry out the system normally in the current situation of our country, the law regulation of the corporation should be further strength- ened, meanwhile, our country law system should also be standardized and consummated.
