从制度变迁的成本与收益、制度变迁的力量对比等角度分析了中国近代公司制为什么经过艰难的历程后最终会产生;从交易成本、激励机制、资本集中等角度分析中国近代公司制的制度功能;从产权结构、法律制度等正式制度及非正式制度的角度分析中国近代公司制不发达的根本原因,从而解决了过去没有解决的一些问题,为进一步研究中国近代公司制提供一定的参考。

The present article analyses the reason that modem China company systems form through a hard course from the angle of force comparison and cost and cost in system transformation, the system function from the aspect of trade cost, encouraging mechanism and capital concentration, the undeveloped reason of modem company system from formal or informal system of property structure and legal system. These analyses solve some remained questions in the past and give reference to further research in this field.
