Review of One-Man Company Legislation after Amending a Company Law

一人公司作为一种特殊类型的公司,自其产生以来一直生生不息,也得到了各国公司法的肯定。在我国,公司立法长期以来未对之予以承认。新修改的公司法虽明确地规定了一人公司制度,但仍存在着一些不足。文章旨在通过对公司法修改后的一人公司立法进行反思,总结我国一人公司立法的成与败,为改进我国的一人公司立法提供建议。

As a special company,one-man company has been lived and grew in nature after it produced.h also had been admitted by some national company law.In our country,company law does not acknowledge it in some years.Although the newly modified company law recognized one-man company system,it had some insufficient too.This article aims at rethinking profoundly and sum- marizing achievement and insufficient of our national One-Man Company Legislation in order to offer suggestions about improving our national One-Man Company Legislation.
