摘要
公司自治有两层含义,基于其团体性除了同自然人一样作为私法自治主体享权担务外,还包括其成员股东所实施的自治.而内部的公司自治又表现为团体性的股东自治.由此得出关于公司自治实质的结论.
The implication of corporate self-government is explained in the article： Corporation can decide its general affairs as person in the narrow sense and shareholders can control corporation in the broad sense. Based on the explanation, a conclusion is drawn out： corporate self-government is based on the shareholders＇ governance, which is intervened by legislation.
