外资并购国有企业的反垄断分析及其规制

On the Anti-monopoly of Foreign Capital Taking over State-owned Enterprises and its Regulation

文章对外资并购我国的国有企业可能产生的两面性进行分析,指出当前外资并购的新特点及对我国经济的危害性,从而应对其进行积极方面的规制,提出了一些具体的制度化建议和规制的特殊制度,以对此进行立法上的控制和防范。

This paper studies the new character of M.＆A. by foreign capital and its harm through an analysis of the advantages and disadvantages it may cause when the foreign capital takes over our state-owned enterprises. The paper puts forward some concrete institutional suggestions and special system of regulation in order to well control and standardize it on legislation.
