Based on the description of the actuality and the analysis of the characteristics of China＇ s FDI （ foreign direct investment）, the problems of China＇ s FDI are analyzed. Some suggestions on how to promote the development of China＇ s FDI are provided. On one hand, the government should focus on the overall strategy of China＇ s FDI, the criteria of law, the environment of international investment, the subject of investment, the system of service, improvement and supervising. On the other hand, the enterprise should pay attention to the strategy management, the capability of innovation and the human resources of the international management.
