随着我国市场经济的发展和公司法制的完善,BJR在我国有引进的需要和适用的前景,论题构建了中国式BJR的定义、与勤勉义务的关系、构成要件、适用程序,并分析了BJR在派生诉讼、敌意收购以及雇用行为领域的运用,最后建议最高人民法院在司法解释中对BJR的内容和适用程序做出规定,并拟定了详尽可行的参考内容。

With the development of Chinese market economy and the amendments of our corporation laws, it is now necessary to make reference to the ideas in Business Judgment Rule. This article makes the statutory definition of Chinese B JR and its applicable objects, and the application premises. It also analyses the main functions of B JR in the fields of derivative suits, corporation takeovers and anti-takeovers, and corporation employment. In the end, the article suggests that Supreme Court of China issue a judicial explanation to make the B JR, and draft the exhaustive and feasible reference contents.
