In the fierce market competition M＆A has become the main way leading enterprises to survival, development and success. It is a long - term strategy to improve corporate core competence. However, quite a few enterprises get into trouble as they implement M＆A. By taking enterprise as a possible dissipative structure, in terms of the impact of entropy law on enterprise and entropy flow, the paper discusses how positive or negative entropy is created in the M＆A enterprises. It raises the integrating tactics stablizing and organizing these enterprises to enhance their coordinative performance.
