摘要
对工程合同管理中存在的“事后合同”、“黑白合同”、垫资承包、挂靠施工、忽视违约索赔等问题及可能导致的风险进行了分析,认为杜绝此类问题必须加强合同管理,签署合同要经过深入的法律论证;将承包人的垫资行为纳入合同并明确违约责任;对合同相对方的资质及实际履约能力进行深入调查;针对工程项目的不同规模、类型实行总承包。
There are many problems such as After-the-event Contract, Black/White Contract, fund-paying-out contracting, Attaching construction and neglecting contract claims, which may derive risks. To avoid this kind of problems, strengthening contract management and careful legal argumentation before contract signing are necessary. Other measures include incorporating contractor’s fund-paying-out into the contract and clarifying contact-claims responsibilities, deeply investigating the other party’s qualification and actual fulfilling ability, implementing general contraction basing on different scales and types.
