摘要
修改后的公司法规定了一人有限责任公司制度,对一人有限责任公司的设立、组织机构、资本制度、治理结构等方面作出了一系列规定。本文通过对一人公司在我国目前是否具备合理性基础的分析,比较修改后的公司法对一人有限责任公司规定的优势和不足,为进一步完善我国的一人公司制度提出几点建议。
The new-amended Corporation Law stipulates the one-man company＇s institution, organization, capital, management, etc. The author compares the advantages and disadvantages of the one-man company clauses in new Corporation Law by analyzing the rational basis of it so as to make some suggestions for the legislation.
