我国证券市场稳定的基石——基于上市公司中小股东利益保护分析

On the Protection of the Interest of Small Stockholders in China's Stock Market

我国上市公司治理结构不完善,中小股东在公司治理结构中处于弱势地位,常常受到不同利益主体的多重侵害,这其中原因是多方面的。信息不对称,股权结构不合理,法规不完善,一些在国外被证明有效的制度在我国的法律上还是空白。必须采取相应的措施保护中小股东的利益,以促进我国证券市场的健康发展。

The paper maintains that the healthy and orderly development of the stock market is dependent, to a considerable degree, upon the effective protection of the interests of the small stockholders, and that, owing to the imperfections of China＇s stock market management, small stockholders stand little chances of earning and, what＇s more, their interests are frequently being impinged upon. Among the many factors, the unbalanced knowledge of relevant information, the unreasonable structure of stock rights, lack of related laws and regulations are doing harm to the stock market today.
