国有企业由工厂制向公司制改造时，应建立符合《中华人民共和国公司法》要求的组织结构体系，避免改制过程中的重形式、轻内容；应建立明确的产权管理体制，避免重产权改革、轻机制转换；并应改变企业办社会状况。

When reforming from factory system to corpration system,must be to establish structure system which conform to requirement of corporation law for avoiding attention form and desipite content in the process of reforming;must be to establish definite management system of property right for avoiding attention change of property right and desipite mechanism change.Otherwise it must be also to have good matching for reforming.
