目前国际上较为典型的公司董事会模式有美国的一元单层制、德国的一元双层制和日本的二元单层制三种,都有各自的特点。本文通过对三种模式的框架、特点及其治理机能的梳理和比较,揭示出三种公司董事会模式的不同之处,并在此基础上讨论我国应如何借鉴外国经验建立自己的公司董事会模式。

Nowadays there are three modes of board of director popular among the world： single deck of centralized leadership system in America, double deck of centralized leadership system in Germany, and single deck of unit doublet system in Japan. On the basis of the compare between three modes the paper proposes the differences between them, and puts forward what should we do to found our mode of the board Of director in China.
