摘要
现阶段,在我国上市公司实施股权激励计划中面临许多问题,诸如标的股票价格与投资价值的背离问题、股价对未来业绩的"透支"问题、国有企业战略重组与股权激励的"冲突"问题、股权激励与内部人控制的矛盾问题、激励收益估算中的技术方法问题等。只有在股权激励试点宴践中正确处理并努力解决这些问题,才能引导上市公司股权激励制度走向完善,建立股权激励之长效机制。
At the present time, there are many problems of formulating and implementing the share incentive plan in listed companies, such as ,the stock price' s departure from the valve of investment, the stock present price' s expression of future achievements to repress further soar of price, the conflict between state-owned enterprises' strategic reorganization and the share incentives, the conflict between the share incentives and insider control and technologies and methods for estimating the income of incentives. The problems must be properly resolved in experimental unit of implementing the share incentives in order to improve and mature the share incentives plan in listed companies and establish the persistent effect mechanism of the share incentives.
