证券法中信息披露义务人的民事责任

Civil Liability of the Information Disclosure Volunteers in Chinese Securities Law

我国证券法中规定了上市公司、发行人及相关主体的信息披露义务。根据民法学的相关理论,信息披露义务应属作为义务,义务人包括发行人、上市公司,保荐人,承销商和中介机构;义务人违反信息披露义务将同时引起侵权责任和违约责任,责任人应该以无过错责任为原则对投资人承担责任;义务人内部仍然应当按照过错程度划分责任。

The information disclosure duty of listed companies, issuers and related bodies is stipulated in Chinese securities law. On the basis of civil law theories, this kind of duty should be regarded as active liabilities, and the volunteers includes issuers, listed companies, guarantees, securities sellers, and facilitating agencies. The volunteers＇ disobey of information disclosure, at the same time, causes tort and contacts -breaching liabilities. Liabilities persons should undertake the liability on the principles of non-mistake liability to their investors. Furthermore, the volunteers should still divide the liability interiorly according to the degrees of mistakes.
