In the operation, there exist such problems as the lanification of the board amd managers＇ level etc. The key factors for the board of directors to function independently and effectively is to maintain appropriate scale and reasonable constitution and also strenghten its decision - making and supervision functions. Above all, it is important to establish and perfect the independent board system.
