摘要
本文以公司治理的角度,对中小企业董事会的独立性、行为特征和激励特征三个方面与公司绩效之间的关系进行了理论和实证分析,并就我国中小企业董事会治理现状提出了改善建议。
The board of directors is the core of the company managing, this paper analyses the relationships between the company performances and three factors including the board independence, behavior character, encouraging character of small-medium enterprises though empirical and theoretical methods, then pursues the research on the board current managing condition and further come up with some suggestion about the improvement.
