摘要
由于两权分离的特点,经理层在进行经营决策时有可能损害股东和其他利益相关者的利益,影响企业绩效和长期发展。通过模型分析,经理层的激励机制对公司绩效确实具有正向作用。今后应该建立更加积极的薪酬机制,并且实施必要的约束机制。
Corporate governance is an international front subject. Since the characteristic of two separate rights, the managers perhaps damage benefits of shareholders and other benefit people, affect the corporation performance and corporation long- term development. By using Panel Data model of econometrics to carry out analysis, we have seen excitation mechanism of managers have indeed positive effect to company achievements. So we should build especially positive salary payment mechanism for the future. But, while strengthening stimulating, we must put necessary restraint mechanism into practice.
