国际货物买卖合同形式——对《CISG》第11条保留与《合同法》适用冲突的思考

国际货物买卖合同的形式是当事人意思表示一致的体现。由于经济发展和法律制度的变化,我国对国际货物买卖合同形式的规定由强制要求当事人采用书面形式变为尊重当事人的意志。但是我国对于《CISG》第11条所作的保留仍然存在,其与我国现行《合同法》关于国际货物买卖合同形式的规定相抵触。本文通过阐述国际货物买卖合同形式的作用以及国内立法和国际公约的相关规定,重点分析《CISG》与我国《合同法》在合同形式上的冲突,并针对我国目前国际货物贸易的发展现状,对该问题提出相关完善的建议。

Format of contract for the international sale of goods is the uniform expression of the will of both parties. With the development of China＇ s econnmy and change in her legal systems, specification of format of contract for the international sale of goods has also changed from compulsory, written form to one which respects the will of both parties. However, the reservation of ART. 1 1 of the《CISG》 still exists , which is not in compliance with the format of contract for international sale of goods as stipulated in the present Contract Law. By elaborating on the impact of the format of contract for international sale of goods and the relevant regulations concerning the national laws and international conventions, this paper emphatically analyzes the conflict between 《CISG》and China＇s Centract Law, putting forward suggestions for the settlement of this problem so as to keep in line with international practice.
