摘要
从律师的视角,以其在地铁等特许经营项目领域的服务经验,在中国目前的法律框架下,分析和探讨香港地铁公司的"地铁+物业"特许经营投融资模式在内地推广应用时遇到的相关法律问题,包括土地出让方式的法律限制、土地收益补偿地铁的限制、沿线土地开发进度及结合建设等,进而提出在现有土地制度下,地铁项目公司取得沿线土地使用权的模式有捆绑招标和以土地作为出资两种。
From the point of view of the lawyers who have legal experience in service for subway concession projects and under the legal frame of the People's Republic of China, the problems with the application of the “Subway + Property” mode of Hong Kong M'IR Corporation in China's Mainland are analyzed and discussed, These problems include the limit on the 'method of land transferring, the limit on the land proceedings as the subsidization for the subway development, and the joint construction and property development of the land alongside, etc. The authors further propose two ways to obtain use rights to the land alongside for subvcay project companies under the legal system in mainland-package bidding and investment with land.
