试论我国国有独资公司的监事会制度

国有独资公司的特殊性质,决定了其独特的公司治理结构,也决定了其独特的监督机制。而其监督机制中最核心、最重要、最关键的当属监事会制度。新《公司法》颁布后,关于国有独资公司监事会制度的新规定没有引起足够重视。因此,从公司治理结构的角度,运用法理学、法哲学、法经济学、比较法学等知识,系统研究我国国有独资公司监事会制度,对我国国有独资公司治理结构的优化和监事会制度的完善具有重要的现实意义。

Solely state-owned enterprises have their special managing structure and unique supervision mechanism due to the special nature. The supervisory board is the most important core and key system. At present, there are various articles related to the issue, but the attention is far from enough after issuing new company law. It is of great significance for perfecting the managing structure and supervising system to study the current system with theories of jurisprudence, philosophy, economics and comparative jurisprudence from the perspective of company structure.
