摘要
公司治理结构这一问题,近些年来始终是公司法中的一个热点与难点,也是法学界、经济学界普遍关注的问题。公司治理结构受社会形态、传统文化及立法习惯体例的影响,各国公司法对公司治理结构的规定不尽相同,但基本可以概括为三种模式:日本模式,美国模式,德国模式。三种模式各具特色。
The structure of corporate governance has always been a hot and difficulty in recent years. It can be affected by social form, style of traditional culture and customs legislation. Different countries have different types of structure. The basic models are three： Japanese model, American model, German model. Three models were unique.
